Job Summary:
We are seeking a highly skilled and experienced Senior Associate to join our Entity Management team at Blueleaf Energy. The successful candidate will be responsible for handling corporate secretarial duties for our group of companies and associated companies across South Asia and Southeast Asia, with a primary focus on India.
Key Responsibilities:
- Manage corporate secretarial duties for Blueleaf Energy group of companies and associated companies across South Asia and Southeast Asia, with a primary focus on India.
- Assist with the incorporation of new companies, including the preparation and filing of relevant documents in accordance with internal and external regulations.
- Ensure accurate and timely filing with the relevant authorities.
- Coordinate and assist with the conduct of board meetings, board committee meetings and general meetings of Blueleaf Energy group of companies.
- Prepare and draft resolutions, meeting agendas, meeting papers and minutes as well as maintain statutory records in both electronic and physical forms.
- Liaise with external parties, including lawyers, auditors, service providers and regulators.
- Coordinate and assist with document execution across various jurisdictions, including, but not limited to, arranging for wet-ink and/or e-signatures and facilitating notary sessions.
- Manage and handle Purchase Orders and Invoices in a timely manner to facilitate timely payment to external service providers.
- Provide administrative support to the team member based in India.
- Other ad-hoc duties as requested by the team lead.
Requirements:
- Qualified Company Secretary and Member of the Institute of Company Secretaries of India.
- Bachelor's Degree in Commerce / Business Administration or other similar qualification.
- At least 3 years of experience in corporate secretarial matters gained from practicing firms or corporations.
- Strong knowledge of the Companies Act 2013, the LLP Act 2008, the Foreign Exchange Management Act 1999, secretarial standards and other applicable regulations.
- Conversant and able to demonstrate hands-on experience with MCA and RBI filings.
- Familiarity with entity management software is a plus but not mandatory.
- Proficient in both spoken and written English.
- Strong Microsoft Office skills, SharePoint and document management.
- Ability to work well under pressure, multi-task, meet deadlines and adopt a pragmatic approach.
- Meticulous, organized and possess a positive working attitude with good initiative and problem-solving skills.
- Ability to work independently as well as within a team.
