About the Role

The Company Secretary plays a vital role in ensuring that our organization complies with all applicable laws and regulations. As a key member of our team, you will be responsible for providing strategic advice on corporate governance matters, managing compliance processes, and implementing policies to ensure effective management of the organization.

Key Responsibilities
  • Develop and implement strategies for effective corporate governance, including policies and procedures for board composition, meetings, and decision-making processes.
  • Ensure compliance with all relevant laws and regulations, including those related to company secretarial matters, securities, and stock exchange requirements.
  • Manage the process of preparing and filing various regulatory documents, including annual returns, accounts, and other reports.
  • Provide legal and advisory services to the board and senior management on corporate governance matters, including structuring and implementing key strategic initiatives.
  • Coordinate with external regulators, auditors, and other stakeholders to ensure compliance with regulatory requirements.
  • Oversee the implementation of policies and procedures for risk management, internal controls, and audit.
Requirements
  • Masters' degree in law or a related field, preferably from a recognized institution.
  • At least 15 years of experience in a similar role, preferably in a listed company.
  • Demonstrated ability to provide strategic advice on corporate governance matters.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with senior-level personnel.
  • Proven track record of implementing process-driven solutions to company secretarial issues.
  • Knowledge of NISM certifications and Company Secretaries Act preferred.
