Job Title: Chief Governance Officer

We are seeking an accomplished professional to lead our governance function and ensure seamless compliance with regulatory requirements.


Regulatory Compliance:
  • Ensure compliance with the Companies Act, 2013 and SEBI (LODR) Regulations.
  • Maintain up-to-date knowledge of applicable laws and regulations.
  • Filing of returns, reports, and disclosures with MCA, SEBI, RBI, and stock exchanges.

SEBI & Stock Exchange Compliance:

  • Comply with SEBI Listing Regulations.
  • Manage shareholding patterns, corporate announcements, press releases, and filings on stock exchanges.
  • Liaise with external auditors, legal advisors, and regulators as needed.

Board and Committee Meetings:

  • Organize, coordinate, and manage Board, Committee, and General Meetings.
  • Draft agendas, minutes, resolutions, and maintain statutory records.
  • Circulate meeting notices and papers to Directors in a timely manner.

Corporate Governance & Risk Management:

  • Maintain a compliance calendar.
  • Liaise with external parties as required.

Secretarial Audit & Annual Filings:

  • Coordinate Secretarial Audit, Internal Audit, and other statutory audits.
  • Oversee annual return filings, XBRL filings, and ROC requirements.

Stakeholder Relations Support:

  • Support investor grievance redressal.
  • Coordinate with RTA and legal teams for share transfers, dividends, and corporate actions.

The ideal candidate will possess:

  • 6-8 years of post-qualification experience as a Company Secretary, preferably in a listed NBFC or financial institution.
  • In-depth knowledge of corporate laws and SEBI regulations.
  • Excellent communication and drafting skills.
  • Attention to detail and ability to meet deadlines.
