Job Title: Business Associate

We are seeking a skilled and dedicated individual to join our team as a Business Associate.

  • This is a unique opportunity to work with a dynamic team that specializes in direct tax advisory services.
  • The ideal candidate will have strong analytical skills, be able to think critically and strategically, and possess excellent communication and interpersonal skills.
  • You will work closely with senior professionals to deliver high-quality results and contribute to the growth and success of the organization.

Key Responsibilities:

  • Structuring and advisory on deals from tax perspectives, including foreign exchange control under FEMA, domestic tax laws, DTAA's, stamp duty, and other allied laws.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps and warranties, etc.
  • Handholding clients in conceptualizing deals with specific focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Advisory on possible structuring through the IFSC Gift city.
  • Front-ending/liaising with various stakeholders, including AD Bankers.
  • Undertaking health checks and preparing due diligence reports.

International Tax and FEMA Advisory:

  • Assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, etc.
  • Effective tax rate (ETR) planning analysis for an Indian promoter held group with 190+ entities.
  • Advisory on FEMA and assistance in compounding applications.
  • Assistance in lower withholding applications, condonation applications, assessments, appeals at all levels. Engaging with senior counsels, preparing synopsis and briefing.
