This role oversees all aspects of corporate compliance, ensuring adherence to regulatory requirements and maintaining a strong governance framework.

  • Key Responsibilities:
  • Advising the board on matters of corporate governance, facilitating meetings, and ensuring accurate minute-taking and timely follow-up on action items.
  • Ensuring strict adherence to statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to a listed company.
  • Managing and integrating the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Proactively identifying, assessing, and mitigating potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Oversseeing the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for the listed entities and all subsidiary entities.
  • Ensuring prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engaging in discussions with them to resolve their queries.
  • Conducting regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
