Job Description

We are seeking a highly skilled Corporate Secretary and Legal Counsel to join our team at Dextra Group. As a key member of our organization, you will play a vital role in ensuring the smooth operation of our business.

Responsibilities:
  • Company Secretary
    • Conduct board meetings and general meetings, issuing notice of meetings, drafting statutory reports, resolutions, and minutes with consulting our CS Consultant.
    • Maintain Statutory Books/Registers and file relevant forms and returns applicable to the company.
    • Ensure compliance with secretarial standards applicable to the Company.
    • Manage CSR compliances applicable to the company along with HR and General Affair Manager.
    • Ensure annual report preparation, printers, and dispatch.
    • Deal with external auditors for secretarial matters.
    • Ensure effective communication and interaction with Indian and foreign Directors, shareholders, and shareholding entities.
  • Legal Matters
    • Provide accurate and timely counsel to executives on various legal topics (labor law, partnerships, international ventures, corporate finance, etc.).
    • Collaborate with management to devise efficient defense strategies.
    • Draft and solidify agreements, contracts, and other legal documents to ensure the company's full legal rights.
    • Provide clarification on legal language or specifications to everyone in the organization.
    • Assist on various legal aspects like filing cases for AR recovery, analyzing Terms & Conditions on Agreement/Sales Order, etc.
    • Improve and oversee the company policies on legal affairs periodically as the company attorney.
    • Filing of Cases with IBC/MSME, etc., for nonpayment of dues by customers.
  • Reporting
    • Monthly and quarterly reporting on CS & Legal matters to GM & Management.
    • Filing and digitalization of all documents.
    • Filing of all the forms timely and accurately as per applicable law.
