Job Title: Financial Services Associate

About the Role:

This is a dynamic opportunity to join our team as a Financial Services Associate. In this role, you will be responsible for providing expert advice on tax matters related to deals and foreign exchange control.

Key Responsibilities:

  • Structuring and advisory on deals from tax perspective and foreign exchange control perspective - FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
  • Drafting and review of deal documents including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps, and warranties, etc.
  • Handholding in conceptualizing deals with specific focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Advisory on possible structuring through the IFSC Gift City.
  • Front-end liaison with various stakeholders including AD Banker.
  • Undertaking health checks and preparing due diligence reports.

International Tax Advisory:

  • Assignments on international tax issues including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax transparent entities.
  • Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Advisory on FEMA and assistance in compounding applications.
  • Assistance in lower withholding applications, condonation applications, assessments, appeals at all levels. Engaging with Senior Counsels, preparing synopsis, and briefing.

Requirements:

  • 0-3 years of experience in direct tax or financial services.
  • Possess strong analytical and problem-solving skills.
  • Able to communicate effectively with stakeholders.
  • Familiarity with FEMA and tax laws.
