Job Description:

The role of Company Secretary is a multifaceted position that involves ensuring the company operates within the legal and regulatory framework. It encompasses compliance, governance, advisory, and administrative responsibilities.

  • Compliance and Regulatory Duties
    • Ensure the company adheres to good corporate governance principles and practices.
    • Ensure compliance with various statutory and regulatory requirements as per the Companies Act, BSE guidelines, SEBI regulations, and other applicable laws.
    • Filing and reporting: timely filing of annual returns, financial statements, and other statutory documents with the Registrar of Companies (ROC) and other regulatory bodies.
    • Secretarial audits: coordinate secretarial audits with the Practising Company Secretary and ensure compliance with secretarial standards.
    • Corporate restructuring: complete corporate restructuring if required, including merger, demerger, buy-back of shares, acquisition, slump sale, etc.
  • Risk Assessment Role
    • Identify and mitigate legal and compliance risks associated with business operations.
  • Board and Committee Support
    • Support in organizing and preparing notices and agendas for board meetings and annual general meetings (AGMs), ensuring they are conducted in accordance with legal and statutory requirements.
    • Maintain accurate records of minutes and resolutions passed in all the meetings of the Company.
    • Act as a point of communication between the board and shareholders.
  • Liaison and Communication
    • Maintain effective communication with shareholders, regulatory authorities, and other stakeholders.
    • Handle public relations and ensure effective communication with various stakeholders, including government and regulatory bodies.
  • Documentation and Records Management
    • Maintain statutory books and registers as required under Companies Act, 2013 and minutes as per the Secretarial standards.
    • Prepare and manage legal documents such as notices, agenda, resolutions, and agreements whenever required.
  • Strategic and Executive Role
    • Contribute to the strategic planning and execution of company policies and procedures.
    • Promote ethical standards and corporate social responsibility within the organization.
  • Training and Development
    • Provide guidance and training to the board members and KMP's on corporate governance and compliance issues.
    • Stay updated with the latest developments in corporate laws and governance practices that are applicable to the Company or any other act that becomes applicable to the Company.
