Job Description

We are seeking an experienced professional to lead our Transaction Advisory practice.

This is a unique opportunity to join our core leadership team and shape the growth of our Transactions desk. You will be responsible for leading the department responsible for PMO services, IPO Advisory, process integration, contracts and legal compliance, due diligence and transaction structuring ensuring that transactions deliver their intended strategic and financial value.

The role demands strong expertise in deal structuring, regulatory compliance, and operational integration. As the leader, you will guide clients through the critical deal execution and post-closing phase — ensuring seamless transitions, synergy realization, and long-term value creation.

Key Responsibilities
  • Drafting of transaction documents, completion of due diligence, and transaction negotiations.
  • Execution of processes after deal closure, including capital structuring, funding drawdowns, and compliance.
  • Integration of acquired businesses (financial systems, reporting, governance, risk management).
  • Synergy tracking and realization through structured MIS dashboards and KPI frameworks.
  • Separation and carve-out activities where required (shared services, asset transfers, employee migration).
Financial & Regulatory Management
  • Implementation of deal-related structures (SPA/SSA covenants, milestone-linked funding, earnouts).
  • Compliance with regulatory frameworks (Companies Act, FEMA, SEBI, RBI, tax regulations).
  • Closing balance sheet preparation, purchase price allocation, and consolidation.
  • Liaising with statutory auditors, tax advisors, and regulators to ensure smooth compliance post-deal.
Stakeholder & Client Advisory
  • Trusted advisor to boards, promoters, CFOs, and private equity investors on post-transaction strategy.
  • Cross-border coordination with legal, tax, and regulatory teams.
  • Clear communication and governance updates to senior stakeholders.
Practice Leadership & Team Management
  • Multidisciplinary team (finance, accounting, tax, process experts) to deliver transaction execution services.
  • Standard operating procedures for post-deal advisory, ensuring consistency and quality.
  • Mentoring Managers and Associates, fostering consulting excellence and knowledge development.
  • Collaboration with other service lines (Tax, Valuation, Audit, Digital Finance) for integrated client solutions.
Business Development & Thought Leadership
  • Service offerings in post-deal advisory and integration.
  • Proposal development, client pitches, and relationship management with key accounts.
  • Representation at industry forums, webinars, and regulatory discussions.
Required Skills & Qualifications
  • 12+ years in M&A, corporate finance, or transaction advisory (Big 4, consulting, or corporate M&A leadership).
  • Chartered Accountant / CFA / MBA (Finance) / LLP.
  • Track record of leading complex cross-border transactions and post-deal execution programs.
  • Experience in automotive, manufacturing, EV, or diversified industrials is an advantage.
