About the Role

We are seeking an experienced Corporate Secretary to join our team at Ajmera Group. The successful candidate will be responsible for ensuring compliance with regulatory requirements, facilitating governance processes, and providing administrative support.

Job Description
  • Filing annual reports, amended Memorandum and Articles of Association, return of allotments, notices of appointments, removal, and resignation of directors and the secretary, notices of removal or resignation of auditors, change of registered office, and resolutions in accordance with the Companies Act with the Registrar of Companies.
  • Handling inspection and changes suggested by ROC, SEBI, or RBI.
  • Formation of new companies and LLPs.
  • Drafting, designing, and publishing the company's annual report and dispatch thereof.
  • Regularly communicating with shareholders – both individual and institutional – through circulars and notices, and ensuring the payment of dividends and interest.
Key Responsibilities
  • Ensure quarterly, half-yearly, and yearly compliances with all regulatory requirements under the Companies Act, 2013, SEBI, FEMA, and RBI act, stock exchange compliances.
  • Filing and registering various forms, documents, and returns as required under the Companies Act with the Registrar of Companies.
  • Maintaining statutory registers of the company as required under the Companies Act.
