Company Secretary and Chief Compliance Officer

As a Company Secretary and Chief Compliance Officer at NGO PARTNERS, you will play a crucial role in ensuring the company’s compliance with legal and regulatory requirements. Your expertise in maintaining high standards of corporate governance will facilitate effective communication between the board of directors and shareholders.
- Board Support: Serve as the primary point of contact for the board of directors and shareholders, providing advisory support and guidance on corporate governance matters.
- Compliance: Ensure compliance with statutory and regulatory requirements, maintaining a comprehensive understanding of applicable laws and regulations.
- Board Meetings: Organize and facilitate board meetings, including preparing agendas, collating board packs, and documenting minutes of meetings.
- Statutory Records: Oversee the management of statutory records, including the company’s register of members, directors, and other relevant registers.
- Regulatory Filings: File necessary documents and forms with regulatory authorities, such as annual returns, financial statements, and disclosures of significant shareholdings.
- Compliance Risk: Conduct compliance assessments and risk evaluations to identify potential areas of non-compliance and develop strategies to mitigate risks.
- Policy Development: Assist in the development and implementation of corporate policies and procedures to ensure adherence to legal and regulatory standards.
- Team Collaboration: Collaborate with internal stakeholders to provide guidance on legal and compliance matters, fostering a culture of integrity and ethical conduct within the organization.
- Regulatory Liaison: Act as a liaison between the company and external regulatory bodies, addressing inquiries, inspections, and audits as required.
- Reporting: Contribute to the drafting of corporate governance reports and assist in the preparation of annual reports and other regulatory disclosures.
- Dispute Resolution: Participate in the resolution of corporate disputes, litigation, and other legal matters, working closely with external legal counsel when necessary.
- Director Training: Support the board in the induction and training of directors, ensuring their understanding of their roles, responsibilities, and legal obligations.
- Compliance Oversight: Provide COP services in accordance with applicable laws, regulations, and company policies, ensuring effective oversight and control of compliance risks.
- Qualifications: Qualified Company Secretary (ACS) with a valid COP certificate and a good standing with the relevant regulatory authority.
- Education: Bachelors degree in Law, Business Administration, or a related field; additional qualifications such as a Master of Laws (LLM) or MBA would be advantageous.
- Experience: Proven experience in a senior compliance or corporate governance role, preferably within a public company or regulated industry.
- Skills: Thorough knowledge of corporate and commercial laws, securities regulations, and corporate governance principles.
- Analytical Skills: Demonstrated proficiency in managing board and committee meetings, including drafting agendas, minutes, and resolutions.
- Regulatory Knowledge: Experience in overseeing regulatory filings and interacting with regulatory authorities, ensuring timely and accurate submissions.
- Problem-Solving: Strong analytical and problem-solving skills, with the ability to assess compliance risks and develop effective control measures.
- Interpersonal Skills: Excellent communication and interpersonal skills, with the ability to engage and influence stakeholders at all levels of the organization.
- Leadership: Ability to work independently, prioritize tasks, and manage multiple deadlines in a fast-paced and dynamic environment.
- Professional Conduct: High ethical standards, integrity, and a commitment to upholding the highest levels of professional conduct and confidentiality.
- Corporate Governance Software: Familiarity with corporate governance software and digital tools for document management and compliance monitoring.
- Continuous Learning: Proactive approach to continuous learning and development, staying abreast of industry trends, regulatory changes, and emerging compliance issues.
- Compliance Services: Experience in providing COP services, including the development and implementation of compliance programs, risk assessments, and monitoring activities.
- Company Secretarial Practices: Sound understanding of company secretarial practices, including the maintenance of statutory records, registers, and corporate documentation.
- Team Leadership: Ability to lead and mentor a team, fostering a culture of compliance accountability and excellence within the organization.
