Corporate Governance Specialist

Job Description:

We are seeking a Corporate Governance Specialist to join our team. As a key member of our organization, you will be responsible for managing all administrative matters of client companies.

Key Responsibilities:

  • Manage client relationships and ensure the client team keeps client files in good legal and financial standing.
  • Review corporate documents and agreements, coordinating and executing activities.
  • Prepare corporate documents, including directors and members' resolutions, powers of attorney, and other legal documents.
  • Participate in incorporation and termination processes of companies.
  • Provide fee quotations for services and charge fees accordingly.
  • Monitor productivity and chargeability on a weekly basis.
  • Understand client activities and ensure actions taken are consistent with the company's activities and purpose.
  • Manage companies, ensuring accuracy and up-dateness of information in client files.
  • Ensure companies are capitalized and management agreements are available in client files.
  • Work closely with managers to maintain the client database and provide advice on complex requests.
  • Develop and update legal manuals and procedures.
  • Prepare monthly reports for the Management Team.

Required Skills and Qualifications:

  • Relevant Bachelor's Degree in Law or Economics/ Qualified Company Secretary.
  • Minimum 8+ years of experience in legal and corporate/company management services.
  • Strong commercial mindset, takes initiative, positive, proactive, dedicated, focused, revenue, and target-driven.
  • Excellent organizational, interpersonal, and communication skills.
  • Excellent client-facing skills, well-developed spoken and written communication skills.
  • Excellent English language fluency, additional languages preferred.
  • Strong analytical and problem-solving skills, solution-driven, highly organized, detail-oriented, with good decision-making and time management skills.
  • Independent, hands-on, and takes accountability to deliver solutions and results.
  • Ability to adapt and work in a smaller, dynamic local team environment.
  • Proven leadership and team player skills, with ambition to excel in the role.
