Job Title: Business Development Associate

We are seeking a highly skilled and motivated Business Development Associate to join our team. As a Business Development Associate, you will be responsible for structuring and advising on deals from a tax perspective, including foreign exchange control, FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.

  • You will be required to draft and review deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps, and warranties.
  • Additionally, you will be expected to handhold clients in conceptualizing deals with a focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
Mergers and Acquisitions (M&A)

In this role, you will also be responsible for advisory assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax-transparent entities.

  • Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • You will also be expected to assist in lower withholding applications, condonation applications, assessments, appeals at all levels, engaging with senior counsels, preparing synopsis, and briefing.

Key Skills and Qualifications:
  • Strong understanding of direct tax law and its application in mergers and acquisitions.
  • Ability to analyze complex financial data and provide effective tax planning advice.
  • Excellent communication and interpersonal skills, with the ability to work effectively with clients and colleagues at all levels.
  • Degree in CA or LLB from a recognized institution.
