Job Title: Tax Advisory Associate

We are seeking a highly skilled tax advisory associate to join our team in the direct tax practice.

About the Role:

  • To provide expert advice on structuring and advisory services on deals from a tax perspective, including FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps and warranties, etc.
  • Advisory services on possible structuring through the IFSC Gift city, with a focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Front-ending/liaising with various stakeholders, including AD Banker.
  • Undertaking health checks and preparing due diligence reports.

Key Responsibilities:

  • Providing advisory assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, etc.
  • Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Advisory services on FEMA and assistance in compounding applications.
  • Assistance in lower withholding applications, condonation applications, assessments, appeals at all levels. Engaging with Senior Counsels, preparing synopsis, and briefing.

Qualifications and Skills:

  • 0-3 years of experience in direct tax practice or related field.
  • Strong understanding of CA/LLB education and relevant laws.
  • Excellent communication and problem-solving skills.
