Job Title: Corporate Governance Expert
Job DescriptionWe are seeking a seasoned professional to fill the role of Corporate Governance Expert. This position plays a crucial part in ensuring our company operates within legal and ethical standards.
The ideal candidate will be responsible for maintaining effective corporate governance practices, providing guidance to the board of directors on best practices, and facilitating communication between the board, management, and shareholders.
Main Responsibilities:- Compliance Management: Stay up-to-date with all relevant laws, regulations, and guidelines affecting our operations.
- Develop, Implement, and Monitor Compliance Frameworks: Create and maintain compliance frameworks and procedures that meet regulatory requirements.
- Conduct Regular Compliance Audits: Identify and address potential issues through regular audits and assessments.
- Corporate Governance: Provide expert guidance to the board of directors on corporate governance best practices.
- Organize and Prepare Materials: Coordinate and prepare materials for board and committee meetings.
- Assist in Policy Development: Collaborate with other departments to develop and implement corporate policies and procedures.
- Company Secretarial Functions: Ensure all statutory and regulatory filings are completed accurately and on time.
- Maintain Corporate Records: Update and maintain corporate records, including board minutes, resolutions, and other legal documents.
- Facilitate Communication: Facilitate communication between the board, management, and shareholders.
- Risk Management: Identify and assess potential legal and compliance risks.
- Develop Risk Mitigation Strategies: Develop and implement strategies to mitigate identified risks.
- Collaborate with Departments: Work with other departments to ensure a comprehensive understanding of potential risks.
- Training and Awareness: Conduct training sessions for employees on compliance-related matters.
- Stay Informed: Keep the team informed about changes in laws and regulations that may impact our business.
Requirements include being a Certified Company Secretary with at least 7+ years of post-qualification business partnering experience. The ideal candidate should possess strong influencing skills and ability to work with Senior Leaders across functions.
