Job Description We are seeking a seasoned and dynamic Company Secretary to lead and oversee corporate governance and enterprise risk management (ERM) responsibilities for our group company operating across multiple business units and geographies globally. This strategic role will ensure compliance, governance integrity, and risk mitigation aligned with global best practices while supporting the Board of Directors and senior management in corporate decision-making. Key Responsibilities Corporate Governance: - Lead corporate governance initiatives to ensure compliance with Indian and international statutory, regulatory, and disclosure requirements relevant to all jurisdictions in which the group operates. - Advise the Board of Directors and senior leadership on governance frameworks, fiduciary duties, and emerging governance trends. - Organize and facilitate board and committee meetings, prepare agendas, minutes, and resolutions with strict adherence to timelines and legal standards. - Manage corporate records, statutory filings, and maintain registers in compliance with corporate laws and corporate policies. - Act as principal liaison with regulatory bodies, auditors, and key external stakeholders regarding governance and compliance matters. - Develop and implement policies supporting ethical governance, transparency, and accountability across all business units. Enterprise Risk Management - Oversee the establishment and ongoing development of a robust enterprise risk management framework aligned with global standards and tailored to multi-LOB operations. - Collaborate with business heads, risk officers, and compliance teams across geographies to identify, assess, and mitigate operational, financial, regulatory, and strategic risks. - Support the Board and risk committees with risk reporting, analysis, and recommendations for risk appetite and control measures. - Drive risk awareness and compliance culture across the group, ensuring timely escalation and management of risk exposures. Cross-functional Coordination - Partner with legal, finance, internal audit, and business units to integrate governance and risk management practices seamlessly. - Provide expert guidance on statutory and regulatory changes affecting governance and risk. - Lead training and awareness programs on governance, ethics, and risk management for various stakeholders. Qualifications And Experience - Qualified Company Secretary (ICSI) with membership in the Institute of Company Secretaries of India (ICSI). - Minimum 8-12 years of relevant experience in corporate governance and enterprise risk management, preferably in a multi-country, multi-LOB corporate group. - Proven track record of managing compliance and governance functions at senior levels within large organizations. - Strong knowledge of Indian Company Law, SEBI regulations, international corporate governance codes, and risk management frameworks. - Experience in managing regulatory filings, board processes, and coordinating with external authorities. - Demonstrated ability to lead ERM initiatives in complex organizations and report effectively to executive leadership and boards. Skills And Competencies - Excellent communication and interpersonal skills with proficiency in English. - Strong analytical, decision-making, and problem-solving abilities. - Ability to influence at senior management and board level. - Multitasking and organizational skills with high attention to detail and deadlines. - Ability to work effectively across diverse cultures and global teams. - Proficiency in e-communication tools, board portal software, and MS Office Suite.
