Job Description Role : Company Sectorial & Compliance Officer Qualification : LLB,CS Experience : 4 to 8 Years Location : Andheri East Job Description : we are seeking a qualified and experienced Company Secretarial & Compliance Officer to lead our corporate compliance and secretarial function at the Mumbai office. Given the current listing suspension, we require someone with strong regulatory experience and active engagement with SEBI, NSE, and BSE. The ideal candidate will have over 4 years of listed company experience, with current employment in a listed entity, and be capable of managing high-stakes corporate compliance and governance processes. Key Responsibilities: Corporate Compliance & Regulatory Affairs: Act as the primary liaison with SEBI, NSE, and BSE, especially for compliance around listing suspension and reactivation Ensure full compliance with SEBI regulations, LODR, Companies Act, and related legal requirements Handle all regulatory filings, disclosures, and correspondence with stock exchanges Company Secretarial Functions: Organize and manage Board Meetings, Committee Meetings, and AGMs, including preparation of agenda, drafting minutes, and ensuring compliance with legal timelines File statutory documents with the ROC (Registrar of Companies), manage annual report preparation and governance documentation Maintain all statutory registers and corporate records in accordance with regulatory requirements Capital Market & Corporate Transactions: Manage compliance and documentation related to NCD issuance, IPO allotments, and other securities offerings Coordinate with legal advisors, merchant bankers, agents, and regulators on transaction-related compliance Documentation & Communication: Prepare accurate and timely board resolutions, statutory disclosures, annual returns, and other investor and regulator communications Maintain a high standard of corporate communication, both written and verbal
