**About the client**: PSS has been mandated to hire a Company Secretary for a fast-growing Microfinance company.

**Job Purpose**:Handle the Company Secretarial functions of the Listed entity and expertise in handling dynamic, high-profile board & large shareholder base.

**Key Responsibilities**:

- To Spearhead whole gamut of secretarial activities including organizing and conducting meetings of the Members, Board of Directors & Committees, and the Shareholders of companies.
- Conducting Board & Committee Meetings, Annual General Meetings (AGMs)
- Maintaining compliances reporting under various laws like Corporate Laws, Securities Laws, Central Bank (RBI) Regulations for financial entities and Exchange control Regulations.
- Implementation of the new Code of Conduct to Regulate, Monitor & Report Trading by Insiders and conducting education session for employees.
- Liasoning with NSE and BSE for completing the listing formalities.
- Skillful in evaluating internal control systems and recommending ways of improving internal controls and compliances.

**Educational Qualifications And Experience**:

- Company Secretary. In addition a degree in law (preferred)
- Leadership experience including the ability to set direction, manage and motivate people and work collaboratively with other teams.
- A minimum of 15 to 25 years of overall experience with at least 8 to 10 years in NBFC.
