We are Hiring **for - Company Secretary & Legal For Leading Hospitality Industry in Mumbai**
**Location - Worli**
**Roles and Responsibilities**
**The incumbent shall be responsible for all aspects of Legal and CS activities mentioned below**:
**OVERVIEW - ROLE**:
**I. Secretarial Compliance**:
**a) Corporate Governance: ensuring the company complies with legal and regulatory requirements and follows best practice, by advising the board on their responsibilities, and helping to develop corporate governance policies and procedures.**
**b) Shareholder Regulations: managing communications with shareholders, including shareholder and other general meetings, to help facilitate the exercise of shareholders’ rights. Alongside this, Company Secretaries will handle matters related to share transfers, dividends and other corporate actions.**
**c) Legal and Regulatory Filing: overseeing the filing of legal and regulatory documents, including annual reports and financial statements.**
**d) Ethics and Compliance: promoting ethical practices within the company, to ensure compliance with codes of conduct and anti-corruption policies.**
**e) Record Keeping: maintaining the company’s statutory registers and records, encompassing the register of shareholders, JV stakekholders, directors and other relevant documentation.**
**II. Legal Role**
**a) Contracts:
- Vetting, drafting and negotiation of all types of agreements for various business verticals.**
**b) Legal Correspondence:
- Draft legal notices, replies to show cause letters & other relevant letters of communication with various vendors and clients.**
**c) Legal updates: Update stakeholders and key executives with important developments, generally concerning the laws.**
**d) Advisory:
- Advice management on issues, and where necessary obtain expert opinions from external sources.**
**e) Real Estate:
- Drafting and negotiating medium to high complexity contracts and termsheets with facility owners for the foregoing aspects of the F&B business.**
**f) Contractual Compliance:
- Ensure compliance with laws, regulations, internal policies of SSP/TFS, and contractual obligations with F&B brands**
**Qualification required: LLB and CS**
**No of years of experience: 3-6 years**
- **Incumbent must have strong experience in negotiation of contracts and good drafting skills is very important for this role.**:
- **Incumbent must have excellent command over spoken and written English.**:
- **The credentials of law school/university from which Incumbent has done LL.B. will be considered.**:
- **A stint in F&B, retail industries shall be an added advantage.**:
- **Incumbent must be able to demonstrate the ability to handle pressure situations with alacrity.**:
- **Incumbent must have multitasking ability. Timely and efficient delivery of legal support is the key.**
