Responsibilities:

- Compliance Management:

- Ensure compliance with all statutory and regulatory requirements applicable to the company.
- Maintain up-to-date knowledge of relevant laws, regulations, and governance practices.
- Prepare and file statutory returns, such as annual reports, with regulatory authorities.
- Corporate Governance:

- Organize and attend Board meetings and Annual General Meetings (AGMs), preparing agendas, minutes, and resolutions.
- Advise the Board on corporate governance matters and best practices.
- Ensure adherence to the company's articles of association and corporate governance guidelines.
- Shareholder Relations:

- Manage communication with shareholders, handling queries, and ensuring timely dissemination of information.
- Coordinate the issuance and transfer of shares and the payment of dividends.
- Facilitate the resolution of shareholder disputes and grievances.
- Legal Compliance and Risk Management:

- Draft and review legal documents, including contracts, agreements, and policies.
- Monitor changes in legislation and assess their impact on the company.
- Identify and mitigate legal risks, advising management on compliance issues.
- Secretarial Duties:

- Maintain statutory registers and records, including registers of members, directors, and charges.
- Ensure proper documentation of company decisions and actions.
- Manage the company's seal and authentication of documents.
- Advising and Supporting the Board:

- Provide guidance to the Board on matters of corporate law, governance, and regulatory compliance.
- Assist in the induction and training of Board members, ensuring they understand their roles and responsibilities.
- Serve as a point of contact between the Board, management, and external advisors.

**Requirements**:

- Bachelor's degree in Law, Business Administration, or a related field. Additional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) certification may be preferred.
- Proven experience as a Company Secretary or in a similar role, preferably within a listed company or regulated industry.
- Thorough understanding of corporate governance principles, company law, and regulatory requirements.
- Strong communication, interpersonal, and organizational skills.
- Ability to work effectively under pressure, manage multiple tasks, and meet deadlines.
- Attention to detail and high ethical standards.

**Salary**: ₹15,000.00 - ₹25,000.00 per month
