Job Description: Company Secretary
Fairfest Media, the organizer of TTF, OTM and BLTM is an established leader in trade shows in India, serving governments and clients from over 100 countries.
Fairfest’s flagship travel event is OTM, which is well-recognised as India’s leading travel event and is the largest B2B travel show in the Asia-Pacific region.
We are now seeking a highly skilled and experienced Company Secretary with experience in listed/IPO-bound companies to join our dynamic team.
The successful candidate will be responsible for ensuring the company complies with statutory and regulatory requirements and for implementing decisions made by the Board of Directors. The role demands a thorough understanding of corporate governance, strong organizational skills, and the ability to handle confidential information with integrity.
Key Responsibilities:
Ensure compliance with the Companies Act, corporate governance best practices, and other relevant laws and regulations.
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Draft, review, and negotiate various agreements, ensuring compliance with legal requirements and company policies.
File necessary documents with regulatory authorities in a timely manner.
Oversee the company's compliance with legal and regulatory obligations.
Provide administrative support to the Board of Directors, including preparing meeting minutes and ensuring follow-up on action items.
Coordinate the induction and training of new directors and board members.
Facilitate communication and information flow between the board, its committees, and external stakeholders.
Maintain records of resolutions passed by the Board and its committees.
Manage and update the company’s statutory registers and records.
Act as a point of contact between the company and external stakeholders, including shareholders, regulatory bodies, and auditors.
Handle correspondence, collate information, write reports, and ensure decisions made are communicated to the relevant company stakeholders.
Assist in the development and implementation of policies and procedures to mitigate legal and compliance risks.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Qualifications and Experience:
Qualified CS and Bachelor’s degree in Law (LLB)
Proven work experience in a similar role within the corporate sector.
Experience in publicly listed/IPO-bound companies
In-depth knowledge of corporate governance, compliance, and regulatory requirements.
Excellent organizational, communication, and interpersonal skills.
High level of integrity, confidentiality, and ethical standards.
