We are urgently looking for Company Secretary for one renowned garments retail chain in India.
Position : Assistant Company Secretary
Experience: 1 to 4yrs
Education: Qualified CS
**The key job description of the Assistant Company Secretary are**:
- **Board Meetings Management**: Organised and facilitate board meetings, including scheduling, preparing agendas, and minute taking. Ensure that board procedures are followed rigorously.
- **AGM Management**:Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- **Directors Report Preparation**: Drafting and preparing Directors report.
- **Compliance Oversight**: Oversee the company’s compliance with legal and regulatory requirements.
a) Updating and managing statutory books, such as registers of members, directors, and secretaries.
b) Compliance of statutory duties including arranging for annual return and maintenance of company records.
c) Filing of various online forms with ROC.
- **Corporate Governance**: Advise the board on governance matters, helping to ensure that the company adheres to the standards of corporate governance.
- **Record Keeping**: Maintain essential company documents such as the certificate of incorporation, legal documents, statutory registers, meeting minutes, etc. in I-Pro.
- **Corporate Secretarial Services**: Handle various corporate secretarial duties, including filing corporate returns, maintaining company seals, etc.
- **Maintaining NBFC**:
a) To maintain day to day ROC and RBI related documentation and filling various returns with RBI & ROC.
b) To file monthly / quarterly reports to CIBIL / CIRIF, etc.
c) To generate CIBIL reports.
- **Other Works**:
a) Ensuring compliance with legal and regulatory requirements,
b) Draft, review, and vetting legal agreements and documentation.
c) Preparation of MIS reports.
d) Perform filing of company’s records and updating internal database.
e) Handling of CSR policy drafting and project implementation, convening CSR committee meetings and preparation of CSR Report.
f) Managing various other administrative and secretarial duties.
