Roles & Responsibilities
- This role combines job responsibilities of a company secretary with listing compliance and in-house legal experience, with the following expectations:
- Ensure compliance, timely and accurate filing of forms and returns under the listing requirements, MCA, RBI, etc.;
- Handling consumer litigation and dealing with police authorities;
- Knowledge of drafting, reviewing, and negotiations on basic-level contracts;
- Monitor compliance under the SEBI (LODR) Regulations, Insider Trading Regulations, and other applicable laws.
- Prepare periodic disclosures such as shareholding patterns, corporate governance reports, and other SEBI/stock exchange compliances.
- Drafting agenda, notices, and minutes for Board, Committee, and members' meetings.
- Coordinate with internal departments for timely inputs and presentation materials.
- Maintain statutory registers and records as per the Companies Act, 2013.
- Organising AGM, EGM and Postal Ballot Coordinate with the Registrar and Share Transfer Agent (RTA) for shareholder services and reporting.
- Preparation and maintenance of secretarial audit documentation and internal audits Implementation of best practices in corporate governance.
- Monitor changes in legislation and regulations and assist in impact analysis

Qualifications
- Minimum 5 years of experience in CS and Legal Function.
- Strong knowledge of the Companies Act, SEBI Regulations, and other applicable laws for ixigo, such as the Consumer Protection Act, Guidelines for e-commerce companies, dark pattern guidelines, Cyber Laws, DPDP Act, Rules, etc.
- Excellent drafting, communication, and coordination skills; and High attention to detail and ability to handle confidential information.
