Meetings :


- Assist in preparation of agenda papers, drafting of minutes and resolutions of the Board, Committee and Shareholders' Meetings and coordinating effectively with various departments and carrying out follow-up actions on decisions of meetings.

Regulatory Compliances :


- Assist in ensuring timely compliances/ filings and submissions of forms, returns, applications as required under the Companies Act, RBI guidelines applicable to NBFC's, the Regulations/Rules/Guidelines of FEMA / FIU-IND/ CRILIC/ RBI CMS etc.

Corporate Governance/ Corporate actions :


Assist in :


- Drafting inter alia the Directors' Report, Annual Report, Returns, Corporate Governance Report under the Companies Act.


- Secretarial corporate actions such as issue of shares/ certificates, private placement of securities, appointment of Directors/ Auditors, alteration of MOA/ AOA, management of disclosures/ declarations from Directors/ KMP's, annual KYC filings, beneficial interest filings, demat of shares etc.

- Compliance of Secretarial Standards issued by ICSI.

- Assist in compliance to SEBI (Listing Obligation and Disclosure Requirement) Regulations, 2015 as may be applicable.

- Assist in aspects of capital infusion and fund-raising activities from secretarial perspective, Right offers, Private Placements, NCD issuance, Bank Borrowings etc.

- Borrowings: Assist in borrowing program of the company, drafting of documents, filing of charges with ROC etc.

- Maintenance of Statutory Registers/ Records as required under the Companies Act 2013.

Audits :


- Assist in Statutory/ Internal/ Secretarial Audits and inspections/ reviews by regulatory authorities such as RBI etc.

- Liaise with external stakeholders viz, consultants, RTA, Trustee, Depository Participants, NCGTC, FIU-IND, NeSL etc, and other functions within the Company, with respect to obtaining/ providing necessary data/ information relevant to the Secretarial/ Compliance function.

- Maintaining all compliance calendar/ checklists under various Acts/ Laws applicable to the Company, MISs, secretarial records etc.

Desired Skill Set :

- Functional Hands on experience of handling Secretarial and compliance activities with prior experience of working with NBFC/ listed companies.

- Behavioural - Critical thinking, attention to detail, listening and analysing skill, Inter-personal relations.

- Technical - Good knowledge of Companies Act, SEBI (LODR) Regulations, 2015, NBFC Directions, FEMA regulations, Depository Regulations and other rules and regulations applicable to the listed NBFC company.
