ROLE & RESPONSIBILITIES:

Secretarial Functions

  • Assisting in overall Legal and Corporate Secretarial functions of the Group Holding
Co. and other group companies which include Trustee Company, AMC, Index Co.,
Venture Co., Holding Company (CIC).

  • Assisting in coordination for managing of Board Meetings, Committee meetings,
etc., including drafting of agenda, minutes, etc.

  • Filing of all the returns, filings with the MCA for all the Group cos.
  • Compliances with PMLA guidelines, Prohibition of Insider Trading guidelines, etc.
and assisting in handling of Statutory Audit, Internal Audits of group companies,
etc.

  • Liasoning with the auditors on compliance issues
  • Liasoning and assisting the Compliance Team in handling of SEBI MF and AIF
Regulations.

  • Providing compliance updates to various departments including drafting of
policies and process notes for the company to comply with various Laws, Rules,
and Regulations.

Legal Functions

  • Preparation, negotiation and review of legal agreements governing commercial
relationships

  • Advise stakeholders to ensure compliance with local laws and regulations
  • Ensure that business processes are fully aligned with corporate compliance
policies.

  • Develop standard agreements and templates together with legal guidelines for
products and documentation as appropriate and keep such documentation and
guidelines updated

  • Helping business lines and functions structure transactions, products, contracts,

with third parties, resolve legal problems, and propose and advise on solutions

that help the business lines complete their transactions/resolve issues within the

Company's operational/legal framework.

  • Provide legal advice and support as required as required generally by business
teams and other functions like human resources, finance, compliance etc.

  • Interpretation of Rules, Regulations, Acts, guidelines, etc and advise the functional
Head accordingly.
