Role Overview:

The Assistant Manager - Company Secretary will be responsible for managing the company's secretarial activities, including but not limited to maintaining the secretarial data room, coordinating board meetings, MCA filings, secretarial filings, and ensuring compliance with regulatory requirements. This position will play a critical role in ensuring proper record-keeping of historical documents since inception, compliance with corporate governance, and liaising with regulatory bodies.


Responsibilities:

1. Secretarial Compliance:

  • Maintain the company’s secretarial data room and ensure timely updates.
  • Organize and coordinate board/committee meetings, including preparation of agendas, minutes, and resolutions.
  • Ensure timely filings with MCA and other regulatory bodies (ROC, XBRL filings, etc.).
  • Maintain statutory records and registers as per the Companies Act, 2013.
  • Draft and review corporate documents like notices, resolutions, Minutes and policies.

2. Record Keeping:

  • Maintain historical records of secretarial documents, agreements, resolutions, and minutes.
  • Oversee document archival and retrieval for legal and secretarial records.

3. Compliance & Governance:

  • Ensure compliance with corporate governance standards and statutory obligations.
  • Liaise with external consultants, auditors, and regulatory bodies.
  • Monitor regulatory changes impacting secretarial matters and advise management.

4. Other Responsibilities:

  • Assist in secretarial due diligence for funding rounds, mergers, and acquisitions.
  • Continuously improve secretarial processes and document management.


Qualifications:

  • Educational Background: Qualified Company Secretary (CS) with a membership in the Institute of Company Secretaries of India (ICSI).
  • Experience: 2-3 years of relevant experience in company secretarial activities, MCA filings, board meeting management, and compliance.
  • Technical Skills: Strong knowledge of Companies Act, MCA filing procedures, and corporate governance standards.
  • Communication Skills: Excellent verbal and written communication skills, with the ability to draft clear and concise minutes, resolutions, and other legal documents.
  • Problem Solving: Strong organizational and analytical skills to ensure compliance with statutory obligations.
  • Attention to Detail: High degree of accuracy and attention to detail, especially in document management and filings.
