Key Responsibilities of therole: Promotionformation and incorporation of companies/LLP s Preparation ofAnnual Reports Notices Agenda and Notes to agenda of Board Meetingsand Notices ofGeneral Meetingsdrafting of Minutes of Board Meetings and General Meetings Statusand Search reports. Preparation andfiling of various eforms with Ministry of Corporate Affairs. Maintenance andupdating of various Statutory Registers. Secretarial Auditof the Companies. Certification of Annual Return of companies Activeparticipation in preparation and negotiations of memorandum ofunderstanding promotersagreementsshareholders agreements and other Commercial agreements. Management Auditand implementation of Corporate Governance. Advice on legaland procedural matters falling under FEMA and arranging variousapprovals and compliancepursuant to variousregulations issued under FEMA. All compliancesunder FEMA regulations including annual filings filing of relevantforms on investment/divestment andtransfer of shares. Key SkillsExperience and Educational Background: Be methodicaland well organized with a high degree of accuracy. Be able tounderstand and explain complex legal and financial matters Have soundjudgment and problem solving skills Be able topriorities and manage a busy workload Have an excellentcommand of written and spoken English with good presentationalskills Goodcommunication skills with dogged resolve to get to the bottom ofany given issue. Must be proficient in Microsoft Office suite usage (Word PPT Exceland etc) Have goodinterpersonal and negotiating skills. Exposure to legaland planning dynamics of Bangalore real estate. Basicunderstanding of litigation laws and court procedures. EducationalBackground: ACompany Secretary Qualification with minimum 5 years of Experiencewith Exposure to Real Estateindustry/ PE Fund/VC Fund and Foreign Exchange Management laws relating to ForeignDirect Investmentand OverseasInvestment.
