Hiring – Senior Manager – Legal & Company Secretary (LLB + CS) – Female

Job Location: Navi Mumbai (Nerul East, Sector 40)

Experience: Minimum 3 years in Legal & Company Secretary roles

Qualification: Qualified Company Secretary (Member of ICSI) + LLB (Mandatory)

Salary Budget: Up to ₹9 LPA

Notice Period: Immediate joiners or those with less than 30 days' notice preferred

Skills Required:

  • Strong knowledge of corporate laws, secretarial standards, and RBI/ROC compliances
  • Proficiency in MS Office and legal drafting
  • Excellent communication and coordination skills
  • High degree of confidentiality, consistency, and proactive problem-solving

Job Objective:

We are seeking an experienced Company Secretary and Legal Professional (CS + LLB) to handle secretarial compliance, corporate governance, and legal documentation for our organization. This role includes ROC/RBI filings, Board and AGM management, legal drafting, and overseeing legal matters and litigation.

Key Responsibilities: Secretarial & Compliance:

  • Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws
  • Organize and manage Board Meetings, AGMs, resolutions, and minutes (both physical and virtual)
  • File annual returns, financial statements, and statutory forms with ROC, RBI, NSDL, and RTA
  • Maintain statutory registers, compliance trackers, and CSR-related documentation
  • Handle corporate actions such as dematerialization of shares, ISIN generation, dividend declarations, buybacks, DPT-3 filings, related party transactions, and inter-corporate loans
  • Support corporate restructuring activities: mergers, amalgamations, change of registered office, amendments to MOA/AOA, and appointments of directors/MD
  • Manage loan documentation, charge creation/satisfaction, and liaise with financial institutions
  • Coordinate with regulatory bodies like ROC, SEBI, RBI, Depositories, and RTA

Legal:

  • Draft, review, and negotiate various legal agreements including supply, distributor, consultancy, NDAs, license agreements, indemnities, POAs, and affidavits
  • Maintain and update the company's litigation database; coordinate with external legal counsels and attend proceedings as required
  • Draft legal notices, official replies, and correspondence with regulatory authorities, institutions, and business partners
