Key Responsibilities

1. Compliance Framework & Governance

  • Develop and implement a compliance management framework covering applicable laws, regulations, and internal policies.
  • Map statutory and regulatory obligations (SEBI, MCA, RBI, FEMA, Income Tax, Labour, Environment, Trust Regulations, etc.) and maintain a compliance register.
  • Roll out and manage compliance management tools/software for automated monitoring, reporting, and escalations.
  • Prepare and standardize compliance checklists, formats, dashboards, and MIS reports for functional heads and management.
  • Ensure cross-functional compliance ownership by coordinating with Finance, HR, Operations, and Business teams.

2. Monitoring & Reporting

  • Conduct periodic compliance testing/monitoring and ensure timely closure of gaps.
  • Track and report compliance status to senior management, Audit Committee, Risk Management Committee, and the Board.
  • Coordinate quarterly and annual compliance certifications from business units/functions.
  • Drive statutory/regulatory reporting to regulators.
  • Prepare compliance MIS and dashboards for submission to management and Board Committees.

3. Policy & Risk Management

  • Draft, review, and implement policies such as Code of Conduct, Whistle-blower, RPT Policy, Insider Trading, ESG/CSR compliance frameworks, Data Privacy & Cybersecurity compliance.
  • Conduct regulatory impact assessments for new/amended laws and advise functions on required changes.
  • Work with the Risk Management team to map compliance risks and integrate into the risk framework.

4. Training & Awareness

  • Conduct compliance training and workshops for employees, business teams, and senior management.
  • Build compliance culture within the organization through awareness sessions, intranet modules, and periodic updates.

5. Legal/Regulatory Support (light legal exposure)

  • Support review of contracts, NDAs, vendor agreements, loan/financing documents to flag compliance risks.
  • Liaise with external legal counsel for opinions and regulatory clarifications.
  • Maintain litigation/regulatory case tracker and update management on status.

Qualifications & Experience

  • ACS (ICSI) or Law Graduate (LL.B.) preferred combination of both.
  • 35 years of experience in compliance management, regulatory affairs, or enterprise governance in a listed company, InvIT, REIT, or financial services.
  • Hands-on experience in compliance frameworks, tools/software (e.g., Legatrix, ComplyGlobal, LexComply, etc.), and regulatory reporting.

Skills & Attributes

  • Strong knowledge of compliance management frameworks and enterprise risk.
  • Familiarity with compliance technology platforms and digital reporting tools.
  • Excellent communication skills for interaction with Board, Committees, Regulators, and internal stakeholders.
  • Analytical mindset with attention to detail and ability to institutionalize processes.
  • Ability to work independently, manage multiple stakeholders, and ensure timely compliance delivery.
