We structure deals ranging from vanilla term loans and unitranches to securitizations (senior/junior/mezz tranches), leveraging robust underwriting and risk frameworks, while remaining Web3-native.

Role Overview

We're looking to bring on a
Head of Legal (Web3 & Global Structured Finance)
to lead Qiro's legal, regulatory, and structuring functions globally. This is a high-impact leadership role requiring deep expertise in structured credit, securitization, cross-border financial structuring, and emerging Web3 legal frameworks. You'll work closely with founders, product, and external counsel across multiple jurisdictions to ensure our transactions are legally sound, scalable, and compliant.

Key Responsibilities

• Transaction Structuring & Execution
• Lead legal structuring of cross-border deals involving SPVs, trustees, custodians, administrators, and fintech borrowers.
• Draft, negotiate, and review complex legal documentation including:
• Subscription Agreements
• Loan Agreements (DA/PTC/True Sale)
• Financial Participation & Partnership Agreements

• Intercreditor & Servicing Agreements

• Securitization & Debt Product Expertise

• Structure securitized transactions across jurisdictions (senior, mezz, junior tranches) with NBFIs and fintechs.

• Advise on wholesale lending, FI lending, and syndicated loan frameworks.

• Regulatory, Licensing & Compliance

• Navigate legal environments for digital assets, stablecoins, and Web3 financial services.

• Understand and apply VASP, AML/KYC, and cross-border securities laws applicable to Web3 and DeFi models.

• Entity & Jurisdictional Strategy

• Advise on global corporate and SPV structuring (Cayman, BVI, Singapore, Luxembourg, Panama, etc.).

• Coordinate with external law firms, administrators, and regulators across multiple jurisdictions.

• Stakeholder & Partner Management

• Liaise with service providers including custodians, trustees, administrators, and legal advisors.
• Represent Qiro in investor, partner, and regulatory conversations with clarity and legal depth.

Who You Are

• 3-12 years of legal experience in structured finance, private credit, fintech lending, or digital assets.
• Strong grounding in securitization structures, including DA/PTC, true sale, and SPV frameworks.
• Prior exposure to offshore deal structuring and multi-jurisdictional legal coordination.
• Comfortable working in or with regulated financial institutions, funds, or fintech platforms.
• Bonus: Exposure to DeFi, tokenized finance, digital asset structuring, or Web3-native regulatory frameworks.
• Self-starter with ownership mindset, and ability to operate in a fast-paced, lean, and global startup environment.
