Job Summary:

We are seeking a skilled Lawyer with 2 – 4 years of experience specializing in Mergers & Acquisitions (M&A) to support our corporate transactions. The role involves providing legal advisory, drafting, and negotiation support for M&A deals, ensuring compliance with applicable laws, and collaborating with internal and external stakeholders to facilitate smooth deal execution.

Key Responsibilities:

  • Provide legal support for M&A transactions including due diligence, structuring, negotiations, and closure.
  • Draft, review, and negotiate transaction documents such as Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Business Transfer Agreements (BTA), and related contracts.
  • Conduct legal due diligence and risk assessments for proposed deals.
  • Liaise with external counsels, advisors, and regulators for deal approvals and compliance requirements.
  • Ensure adherence to corporate, securities, and competition laws in all transactions.
  • Advise management on legal risks, rights, and obligations related to proposed deals.
  • Support post-transaction integration and compliance activities.
  • Stay updated with latest legal and regulatory developments affecting M&A transactions.

Qualifications & Skills:

  • Law graduate (LLB / LLM preferred) with valid license to practice law.
  • 2 – 4 years of experience in M&A deal support at a law firm or in-house legal team.
  • Strong knowledge of corporate laws, contract laws, SEBI, FEMA, and competition regulations.
  • Excellent drafting, negotiation, and analytical skills.
  • Strong communication and stakeholder management abilities.
  • Ability to work under pressure and manage multiple transactions simultaneously.
