Qualification: LLB from a Premier Law College. LLM from a reputed University would be a plus but not a must.

The candidate must be proficient in Bengali (Reading, writing and speaking). Knowledge of other languages being spoken in Eastern Part such would be an add on.

Preferable: Relevant Experience in Broadcasting Sector, Telecom, IT, ISP.

KEY RESPONSIBILITIES

a) Commercial contracts: Demonstrated (hands on experience) subject matter knowledge in structuring, drafting, negotiating and closing all types of Agreements including but not limited to Distributorship Agreement (CATV/ISP), Leave and License Agreements, Software technology agreements, master service agreements, syndication agreements, OTT agreements, value added services agreements, Procurement agreements, CALL centre agreements and services agreements.

b) Drafting of pleadings, writ petitions, plaints, complaints, written statements, company petitions, appeals, revisions, winding up petitions, statements of claim etc. before TDSAT, Trial courts, High Court(s), Supreme Court;

c) Drafting of various legal notices including replies thereof as per policy of the company

d) Assist in strategizing and formulating litigation strategy in line with commercial objectives of the company

e) Research and analysis of various policies, amendments, bills, consultation papers, notifications, on corporate law matters.

PERFORMANCE MEASURES

a) Timeline adherence for assignments handled

b) Multitasking : Ability to coordinate across various functions to ensure completion and compliance

c) Ability to coordinate across various functions to ensure completion and compliance

d) Providing sound and practical legal advice pertaining to all corporate and contractual issues, inter alia, under contract law, IPR laws, etc.

KNOWLEDGE AND SKILLS

a) Providing sound and practical legal advice pertaining to corporate and commercial legal issues.

b) A good understanding and application of broadcasting Regulation such as the Interconnection Regulation, Tariff Order, Quality of Service enacted by TRAI, Knowledge of ISP and E-commerce, Digital Media would be a plus.

c) A reasonable understanding of Civil Procedure Code, Criminal Procedure Code, India Penal Code, Arbitration Laws, Legal Metrology Act, Contract Laws, Negotiable Instrument Laws, Intellectual Property Laws, IT Act, Telegraph Act and other economic offenses statutes.

d) Experience in drafting, negotiating, rights and technology contracts, understanding of the regulatory regime in distribution is perquisite.

e) Demonstrated (hands on experience) in contract drafting, good negotiation, and execution skills i.e., ability to draft, negotiate and close transactions independently with minimal supervision

f) Should have excellent research, analytical skills and should be able to exercise judgment and discretion to opine on compliance/ legal issues effectively.

g) Should enhance industry specific understanding and be an effective negotiator.
