Requirements
The role

We are looking for individuals who are not only passionate about our mission but also comfortable and confident using cutting-edge technologies and AI tools, to streamline processes, drive innovation, and contribute to the growth of Vestd.

The Compliance & Governance Lead (C & G Lead) will be the designated compliance and governance lead, responsible for ensuring that the RTA adheres to SEBI's regulatory framework, investor servicing obligations, and operational standards.

The role will be treated as one of the Key Managerial Personnel (KMPs), and therefore the qualifications and experience prescribed for KMPs shall equally apply to the C & G Lead.

The primary responsibilities of this role

We cannot provide an exhaustive list of duties; additional duties will arise, but the following will be core elements of this role:

  • Act as the designated officer-in-charge for SEBI and regulatory interface.
  • Ensure end-to-end compliance with SEBI (Registrars to an Issue and Share Transfer Agents) Regulations, 1993.
  • Supervise functions such as investor application handling, allotment processing, share transfers/redemptions, corporate action servicing, and data reconciliation.
  • Implement compliance systems for KYC, AML, data protection, and business continuity.
  • Lead internal control, risk management, and audit readiness processes.
  • Monitor regulatory updates and ensure timely integration into RTA operations.
  • Coordinate with issuers, depositories, exchanges, and regulators for seamless operations.
  • Report material issues on compliance or governance to the Board/designated authority.
Essential elements for this role

These are the skills and qualifications we consider essential for this role:

  • Work Experience: Minimum 2 years in relevant areas, such as with a registered RTA (with both NSDL & CDSL), Depository Participant and compliance related to share transfers (current experience)
  • NISM Certification (Series II A)
  • Fit and Proper Criteria: Must meet SEBI's standards of integrity, competence, and financial soundness (no criminal, economic, or regulatory disqualifications) as per Regulation 7 and Schedule II of Securities and Exchange Board of India (Intermediaries) Regulations, 2008.
  • Technical Competence: Practical knowledge of computer hardware and software relevant to RTA operations is mandatory
  • An ability to communicate well in English, both verbally and in writing

  • Educational Background: Company Secretary and/or Law degree.
  • Understanding of shares, articles of association, shareholders' agreements, and strong legal drafting skills.

  • A proactive problem solver who thrives on helping others.
  • Self-motivated, flexible, and able to work with minimal supervision.
  • Must thrive on continuous learning and adaptability.
  • Familiarity with how early-stage and scale-up companies grow and evolve, whether through investment rounds or organically. Prior exposure to employee/shareholder schemes would be an advantage.
