Overview: Our client is looking for a qualified company secretary (CS) with up to 1 year of experience to assist in managing statutory compliance, corporate governance practices, and regulatory filings. This is a great opportunity for a fresh CS to begin their career in a dynamic and growing organization.
Salary: 4 to 6 LPA
Key responsibilities:
A. Statutory compliance:
1. Assist in maintaining statutory books, registers, and records as per Companies Act.
2. Support in preparing and filing ROC forms such as AOC-4, MGT-7, DIR-12, etc.
3. Help ensure compliance with company law and applicable regulatory requirements.
B. Meeting support:
1. Assist in organizing and drafting notices, agendas, and minutes for board and general meetings.
2. Maintain proper records of resolutions and meeting documentation.
C. Legal & secretarial assistance:
1. Support in drafting routine company documents such as board resolutions, NDAs, and internal policies.
2. Help coordinate with consultants, legal advisors, and government authorities.
D. Documentation & reporting:
1. Maintain and organize compliance documents, contracts, and filings.
2. Assist in the preparation of MIS reports for legal and secretarial activities.
E. Learning & development
1. Stay updated with recent amendments in corporate, FEMA, and SEBI laws.
2. Work under senior professionals and gain practical exposure to company law and compliance.
F. Stakeholder management:
1. Build and maintain relationships with key retail investors, and other relevant stakeholders.
2. Support the investor relations function in maintaining transparency with shareholders.
3. Provide reports and updates to the board on shareholder sentiment and potential risks.
G. Compliance & governance:
1. Stay updated on relevant legal and regulatory changes.
2. Support the implementation of best practices in corporate governance.
3. Assist in internal compliance checks and audits.
