1. Statutory Compliance & Secretarial Support
- Ensuring compliance under Companies Act, 2013, FEMA, and other applicable laws.
- Prepare and file forms, returns, and other documents with MCA, ROC, and other regulatory bodies.
- Maintain statutory registers, records, and filings as per applicable legal requirements.
2. Board & Committee Support
- Drafting agenda, notices, minutes, and resolutions for Board Meetings, General Meetings, and Committee Meetings.
- Coordinate documentation for meetings.
- Maintain updated records of board members and their disclosures.
3. Record Management & Documentation
- Ensure proper maintenance and custody of statutory documents, company seal, share certificates, and agreements.
- Update internal databases and statutory records regularly.
4. Shareholder & Stakeholder Communication
- Coordinate with shareholders for share transfers, dividends, and other communications.
- Support liaison with ROC, MCA, RBI, banks, auditors, and legal consultants.
5. Legal and Compliance Assistance
- Assist in contract vetting, due diligence, and basic legal documentation.
- Monitor legal updates and assist in disseminating relevant changes to internal teams.
Key Skills & Competencies:
- Knowledge of Companies Act, 2013 and related regulations
- Proficiency in MCA21 and ROC filings
- Strong drafting, coordination, and follow-up skills
- Attention to detail and confidentiality
- Ability to work in a team and manage documentation independently
