Role Overview
The Company Secretary & Compliance Officer will lead all corporate secretarial, governance, and regulatory compliance functions. This role ensures the organization operates in accordance with the Companies Act, SEBI, RBI, and other applicable laws. The position requires hands-on expertise in corporate governance, board management, regulatory filings, and legal documentation — serving as a key advisor to management and the board.
Key Responsibilities
Corporate Secretarial & Governance
- Organize and manage Board, Committee, and General Meetings, including drafting notices, agendas, and minutes.
- Ensure timely filings of all forms, returns, and reports under the Companies Act and other statutory requirements.
- Maintain statutory registers, records, and ensure due diligence of director appointments, resignations, and disclosures.
- Assist the Board in maintaining the highest standards of corporate governance and adherence to SEBI (LODR) and other regulatory guidelines.
- Prepare and review annual reports, board reports, and related annexures.
- Oversee secretarial audits, due diligence reports, and coordination with statutory auditors.
Compliance & Legal
- Ensure regulatory compliance with RBI, SEBI, MCA, and other applicable bodies.
- Monitor changes in legislation and regulatory environment; communicate implications to management.
- Manage SEBI (PIT, SAST, LODR) compliances, NBFC/ARC filings, and corporate actions (mergers, acquisitions, share issues, NCD/MLD issuances).
- Review, draft, and vet legal documents — Shareholder Agreements, Business Agreements, Subscription & Purchase Agreements, etc.
- Support the legal and finance teams on taxation, fund-raising, and investment-related compliance matters.
- Coordinate with regulators for inspections, clarifications, and submissions.
Risk & Reporting
- Develop a risk-oriented compliance monitoring and audit plan, reporting key findings to senior management and the Board.
- Maintain effective internal controls and ensure timely reporting of any non-compliance or deviation.
- Drive proactive compliance culture and awareness across the organization.
Qualifications & Experience
- Professional Qualification:
Company Secretary (ACS). - Additional Qualification:
LLB preferred; CA/MBA (Finance) an advantage. - Experience:
Minimum 8–12 years in corporate secretarial and compliance functions, preferably in NBFCs, ARCs, or financial services. - Proven track record in managing SEBI, RBI, and MCA compliances for listed or regulated entities.
Key Skills
- Strong understanding of Companies Act, SEBI Regulations, RBI Guidelines, FEMA, and related laws.
- Excellent drafting, communication, and stakeholder management skills.
- Proven ability to lead governance, compliance audits, and risk mitigation initiatives.
