Role Overview:

We are seeking a qualified and detail-oriented
Company Secretary (CS)
to manage corporate secretarial, regulatory, and governance functions. This role will also support investor transactions and fundraising documentation as the company scales in India and internationally.

Key Responsibilities:

Manage statutory registers, board meetings, and ROC filings (MGT-7, AOC-4, PAS-3, etc.)

Ensure compliance with the Companies Act, 2013 and other regulatory frameworks

Support fundraising documentation (SSA, SHA, board resolutions, investor consents)

Manage share capital, ESOP administration, and cap table updates

Ensure FEMA/FDI compliance (FC-GPR, FLA, RBI reporting)

Oversee internal compliance (POSH, Shops & Establishment Act) and maintain compliance calendar

Requirements:

Qualified Company Secretary (ICSI)

3–6 years of experience in corporate secretarial roles, preferably in a startup or VC/PE-backed company

Strong knowledge of Companies Act, MCA/ROC processes, and FEMA regulations

Experience in fundraising, due diligence, and investor documentation

Desired Attributes:

Strong drafting & documentation skills

High attention to detail and governance mindset

Ability to manage tight timelines and coordinate with multiple stakeholders
