Scope of Work – Senior Legal Executive / Legal Manager (Investments & Compliance)

  1. Manage and oversee the entire legal process for startup investment deals from term sheet to closure.

  2. Draft, standardizationotiate investment documents including Term Sheets, SSAs, SHAs, Convertible Notes / CCD Agreements, and related side letters.

  3. Coordinate with founders, co-investors, internal teams, and external counsels to ensure timely and accurate execution of investment documents.

  4. Conduct and supervise legal due diligence of prospective investee companies; identify risks and prepare summary or red-flag reports.

  5. Ensure compliance with applicable laws and regulations under the Companies Act, FEMA, SEBI, and RBI frameworks.

  6. Oversee post-investment regulatory filings such as PAS-3, MGT-14, FC-GPR, and related company secretarial compliances.

  7. Manage the process of dematerialisation of shares, coordinate with company secretaries, RTAs, and depositories (NSDL/CDSL), and maintain accurate demat records.

  8. Maintain updated shareholding data, investment registers, and portfolio compliance trackers.

  9. Create, maintain, and update standard legal templates including NDAs, advisory agreements, and service contracts.

  10. Maintain centralized legal documentation and ensure timely compliance tracking, reporting, and version control of executed agreements.

  11. Advise management on legal risks, governance, and regulatory developments while driving process improvements and standardization across legal operations.
