Job Responsibility

** Overview**:
A Merchant Banker provides specialized financial advisory services to corporate clients, helping them raise capital, manage mergers and acquisitions, and engage in high-value financial transactions. This role requires a blend of strategic thinking, financial expertise, and client relationship management.

**Key Responsibilities**:
**1. Capital Raising**:

- Advise clients on raising funds through equity, debt instruments, and hybrid securities.
- Assist in Initial Public Offerings (IPOs), rights issues, private placements, and other capital market activities.
- Structure and syndicate deals to meet client needs and market conditions.

**2. Mergers, Acquisitions, and Restructuring**:

- Provide guidance on mergers, acquisitions, demergers, and restructuring processes.
- Perform due diligence, valuation, and financial modeling for transactions.
- Facilitate negotiations and finalize deal terms between parties.

**3. Underwriting Services**:

- Act as an underwriter for securities issued by clients to ensure successful fundraising.
- Manage underwriting risk by syndicating with other financial institutions.

**4. Corporate Advisory**:

- Offer strategic advice on corporate structuring, joint ventures, and partnerships.
- Help clients navigate regulatory and compliance frameworks.
- Advise on financial strategies to maximize shareholder value.

**5. Due Diligence and Documentation**:

- Conduct thorough market and financial research to assess investment viability.
- Prepare prospectuses, investment memorandums, and other regulatory documentation.
- Ensure compliance with SEBI and other financial regulations.

**6. Relationship Management**:

- Build and maintain strong relationships with corporate clients, institutional investors, and regulators.
- Act as a trusted advisor, providing customized solutions to clients’ financial challenges.
- Foster long-term partnerships to generate repeat business.

**7. Risk Assessment and Mitigation**:

- Identify risks in transactions and provide strategies to mitigate them.
- Monitor market trends and geopolitical factors that could impact deals.

**8. Market Analysis and Research**:

- Stay updated on industry trends, competitor movements, and financial regulations.
- Provide insights on market conditions to support client decision-making.

Qualification
