Our Legal Department in Chennai is looking for a
**Company Secretary & Assistant Internal Auditor**
**Your Responsibilities**:
- Organizing Board Meetings & Annual General Meetings Maintenance of statutory registers under the Companies Act
- Alteration of Memorandum & Articles of Association of the Company.
- Liaisoning with Registrar of Companies, Income Tax office, Sales Tax office, Banks.
- Preparation and filling of various forms with the Registrar of Companies relating to the appointment/ retirement of Board of Directors.
- Preparing Notices, Directors Report, Resolutions & minutes of AGM, EGM, BM and Committees Meeting
- Drafting and vetting of various agreements
- Drafting of other Legal Documents like POA, Affidavits, Bank Guarantees, Indemnity Bonds, Letter of Authority, Renewal & Termination Letters etc.
- Preparation of Legal Opinion on various matters relating to Corporate and Other Laws.
- Ensuring Legal or Statutory Compliances of the organization under the Companies' Act.
**Your ideal profile**:
- CS fresher with membership registration.
- 1-3 yrs experience will be an added advantage
- Good stakeholder management skills
- Excellent communication skills both English and Tamil
- MS Office proficient
- Keen into details
- Good in multi-tasking
- Proactive and have good analytical skills
