This role will assist the Vice President and other key Ryan stakeholders with directing, implementing, managing, coordinating, overseeing, and supervising legal matters relating to the Company including, without limitation, implementation of a new equity management software platform for Ryan and managing all aspects of the software platform going forward, including maintenance of information and reporting.
Duties and Responsibilities aligned with Ryan Key Results:
People
- Load grant agreements and coordinate delivery of grant communications, following up with equity plan participants as needed.
- Be responsive to participant inquiries and coordinate with internal teams and vendors as appropriate to resolve issues in a timely manner.
- Support participant education and understanding of equity program through development of training sessions, communications and other participant-focused tools/resources in collaboration with the Company’s People Group.
- Collaborate with attorneys and Finance team in preparation of SEC filings and regulatory reporting (Specifically Section 16 reporting, including Forms 3, 4 and 5; Forms 10-K, 10-Q, and the Annual Report and Proxy Statement), and both recurring and ad hoc reports as needed.
- Manage relationship with equity plan administration vendors and the company’s transfer agent.
- Provide excellent customer service, guidance, and training to internal business partners, and equity plan participants related to accessing and understanding equity grants, stock transactions, and related topics.
Client
- Manage the Company's global Equity Program, including internal and external processing and reporting for option and award plans.
- Serve as the system administrator for the equity management system, including managing user access and reporting; possess and communicate overall in-depth understanding of available functionality.
- Ensure timely and accurate preparation of grant exhibits for Board or Compensation Committee approval and processing of new equity grants. Prepare periodic reports reflecting the current status of equity and, on an as-needed basis, data and analysis related to equity holdings.

- Ensure accurate and timely processing and settlement of all equity transactions including grant, vesting, exercise, expiration and termination events.
- Maintain equity management system, safeguarding database integrity through ensuring the accuracy of all accounts and transactions. Perform ongoing reconciliation of records as well as recurring and ad hoc reporting.
- Create and maintain workflow, process and program documentation for Equity Program; focus on process improvement, implementation of best practices, compliance and enhancing the participant experience.
- Maintain equity plan administration processes and procedures, including updating policies guidelines, processes, implementing automated solutions where appropriate.
- Prepare equity related agreements with escalation to attorneys as needed; track online equity related agreements and ensure timely electronic signatures.
- Coordinate the preparation and filing of all required reporting and disclosures. Maintain best practices with respect to SOX controls and applicable processes to ensure accurate and timely reporting of equity award data.
- Gather, organize and prepare data for proxy and other required regulatory filings and develop supporting documentation and information for internal audit review.
- Ensure ongoing compliance of Equity Program by monitoring applicable regulations and accounting requirements and maintain sound internal controls.
- Assist with the management of trading windows and compliance with the Company’s Insider Trading Compliance Program, as needed.
Education/Experience:
Bachelor's degree required. 7+ years of demonstrated relevant and progressive work experience in Equity Administration, preferably at a public company. Possesses an in-depth and comprehensive understanding of equity administration and management, including tax and legal concepts.
- Experience with SOX controls and applicable securities filings and disclosures.
- Financial acumen, as well understanding of tax/accounting/legal/regulatory issues related to executive compensation programs.
- Knowledge of SEC and proxy advisory policies and practices.
- Demonstrated knowledge designing and implementing programs in different countries.
- Superior analytical skills; resourceful and attentive to details.
- Excellent critical thinking and problem-solving skills.
- Strong organization, planning and project management skills with an ability to pivot quickly when needed.
- Strong written and verbal communication skills with an ability to communicate complex concepts in easy-to-understand terms.
- Ability to multi-task and deliver results in a fast-paced environment.
- Ability to understand and interpret legal documents, terms and conditions.
- Advanced Excel skills, strong PowerPoint presentation skills.
