JOB DESCRIPTION:
1. Organize and manage board and committee meetings, ensuring compliance with applicable regulations and statutes.

2. Advise the board and senior management on corporate governance best practices.

3. Maintain Secretarial records of the Company and its periodical updation. Draft, review, and execute legal documents, agreements, and resolutions.

4. Monitor and ensure compliance with all relevant laws, regulations, and guidelines applicable to an NBFC and a listed company.

5. Maintenance and updation of statutory Registers and Records, including the register of members, directors, and other statutory books.

7. To conduct Board, Committees, and General Meetings for the Subsidiary Company.

8. Facilitate communication between the board, management, and shareholders.

9. To support Company Secretary in conducting Board, Committees, Postal Ballot, and Annual General Meetings of Holding Company.

10. To Prepare agenda, notes on agenda, minutes for Board, Committees and General Meetings.

11. To Arrange the documents required from the Secretarial department for other departments such as Marketing, Finance, etc.,

12. To Manage filing systems and records within Secretarial department.

13. To Assist in preparation of annual report of the company.

14. To ensure all the timely compliances of Companies Act, 2013, under SEBI listing regulations and RBI norms.

15. Research and keep up to date with latest trends, emerging risks, regulatory changes

**Core Competencies Expected**:
EDUCATION: Bachelor’s degree and Qualified Company Secretary - Must

EXPERIENCE: 3-5 years

DEPARTMENT: Administration

PREFERENCES: Experience in Listed NBFC Companies.

MUST HAVE: Ability to constantly research the trends in the industry, various regulatory changes and amendments from any of the compliance authorities.

**Salary**: ₹40,000.00 - ₹62,500.00 per month
