We are currently seeking a diligent and detail-oriented Legal Assistant to join our team. The Legal Assistant will provide support to our legal team in various administrative and clerical tasks. This position requires excellent organizational skills, attention to detail, and the ability to work efficiently in a fast-paced environment.
**Duties and Responsibilities**:
- Drafting, reviewing, negotiating, and commenting on certain contracts:
- Work for Hire agreements. These are templated “Independent Contractor” agreements. We have several templates. We use the template most suitable for the role the contractor will provide. The person filling this position will focus primarily on the: Art Commission Template, the Publishing WFH Template, and the general WFH template. Because these agreements are templated, they don’t usually need editing. The SOWs attached to the agreements are also templated, but the SOWs need to be filled in to varying degrees, depending on the request.
- School contracts. This position will provide first level review of school contracts to determine whether we have submitted identical or nearly identical forms previously. If we have filled in identical forms previously, the role requires the contract manager to fill in the requested information, which information can be taken from the previously filled in form. Certain identified clauses will have to be tracked in our contract lifecycle management system (Malbek).
- If the contract is a new form that we haven’t previously filled in, this position will review the form looking for certain identified clauses, track those clauses in Malbek, and work with Legal and/or Tech to gather the information requested in the contract.
- Assisting with all aspects of the administration of contracts, including maintenance of contract files and terms through Malbek; monitoring of agreement terms; and other post-execution matters.
- Assist in maintaining standard agreement templates and providing updates as needed within Malbek.
- Managing workflow processes and the life cycle of contracts in and outside of Malbek.
- Project work as appropriate
**Experience and Qualifications**:
- 2 years of contract drafting and administration experience.
- Experience with a contract lifecycle management system.
- Project management and/or workflow management a plus.
- Experience with acquiring and licensing intellectual property (in particular, copyrights) is a plus.
- NetSuite experience a plus.
- Experience with data privacy and information security issues is a plus.
- Strong organizational skills.
- Strong data entry skills.
- Maintain discretion in managing confidential and sensitive items.
- Works well under pressure and thrives in a fast-paced environment.
- Ability to manage multiple tasks and projects.
