Job Description:
Our dynamic and growing merchant banking team is seeking a skilled and experienced professional for the position of IPO Legal Counsel. As an integral part of our team, you will play a crucial role in handling initial public offerings (IPOs) by conducting legal due diligence and drafting necessary documentation. This is a unique opportunity to contribute to the success of our clients in navigating the complexities of the capital markets.

**Responsibilities**:
Legal Due Diligence:
Conduct thorough legal due diligence on companies planning to go public.

Analyze and assess legal risks associated with the IPO process.

Collaborate with cross-functional teams to ensure comprehensive due diligence, including financial, regulatory, and operational aspects.

Drafting and Review:
Prepare and review legal documents related to IPO transactions, including prospectuses, offering memoranda, and other disclosure documents.

Draft and negotiate underwriting agreements, lock-up agreements, and other transactional documents.

Ensure compliance with regulatory requirements and securities laws.

Regulatory Compliance:
Stay current with regulatory developments and updates affecting IPOs.

Provide guidance on compliance with securities regulations and listing requirements.

Collaboration and Communication:
Work closely with internal teams, external legal counsel, and regulatory authorities to facilitate a smooth IPO process.

Communicate effectively with clients, providing legal advice and addressing inquiries related to IPOs.

Risk Management:
Identify and assess legal risks associated with IPO assignments.

Develop and implement risk mitigation strategies.

Qualifications:
Juris Doctor (JD) degree and active membership in a relevant state bar association.

A minimum of [X] years of experience in handling IPO transactions within a reputable law firm or corporate legal department.

Strong knowledge of securities laws, regulations, and corporate governance practices.

Proven experience in conducting legal due diligence and drafting transactional documents for IPOs.

Excellent communication and interpersonal skills.

Ability to work under tight deadlines and manage multiple priorities.

Detail-oriented with strong analytical and problem-solving skills.

Experience: 4 to 6 years

CTC offered: 12 to 16 LPA

**Salary**: ₹100,000.00 - ₹150,000.00 per month
