Commercial Attorney Associate

**ABOUT THE ROLE AND OUR TEAM**:
We are looking for an experienced, highly skilled, energetic attorney to join the Company’s global legal team and provide support in particular for our Commercial team. This attorney must be eager to work on a variety of commercial matters and understand business needs whilst ensuring legal necessities are adequately reflected at the same time. This person will be heavily involved with day-to-day contract review, drafting and negotiation and must be comfortable working across jurisdictions and contract types.

Your main field of action will cover jurisdictions across the company’s different operating regions. Your position will be based in our office in India, but you will work closely with all members of the legal team based both in Spain and the US. You will report to our VP Legal International, who is based in Spain.

**RESPONSIBILITIES**:

- Draft, review, and negotiate complex vendor, supplier, customer, and consultant agreements, including those for enterprise-wide software and technology implementations, facilities-related agreements, and non-disclosure agreements under Spanish and US law.
- Be responsible for compliance with relevant laws & regulations and provide advice on any legal and compliance questions in connection with commercial matters.
- Assist with the growth of our legal operations function, including contract management, procurement operations, and other areas. Assist with the implementation of enterprise software that either directly supports or touches on the legal team.
- Be an active part in the development and implementation of internal policies, procedures and training on a variety of legal, regulatory and business matters.
- Draft, revise, and assist in the management of the company’s form agreements and policies.
- Perform other tasks as necessary to ensure that legal and compliance meets its commitments to stakeholders.
- Build and maintain positive relationships with local leadership and other strategic partners, work with other lawyers and the internal stakeholders to support the Company’s business development, and help the company prepare for future growth.

**SUCCESSFUL COMMERCIAL COUNSEL CANDIDATES HAVE**:

- LLB graduate with the ability to practice in-house in India and for a global company with presence in the US and Spain.
- 4+ years of combined relevant legal experience, preferably in a law firm and an in-house legal department, including demonstrable experience with the Responsibilities listed above. Experience with a technology company is a plus.
- Excellent knowledge and understanding of how a Legal function can support the Company and its business.
- Strong ownership, curiosity and drive.
- Strong process orientation with a consistent focus on possible process improvements.
- Strong interpersonal skills. Works well with others in a team environment.
- Experience preparing / revising internal templates, policies, guides, and similar knowledge management documents, and taking responsibility for document management.
- Ability to manage and prioritize workload and multiple deadlines in a fast-paced environment; self-motivation, strong organizational skills and a focus on detail.
- Strong and effective document drafting and negotiating skills with excellent oral and written communication skills in English.
- Fluency in English (particularly with negotiating and drafting legal agreements in English) required. Fluency in Spanish or in another foreign language is a plus
