**Position Summary**:
**Key Responsibilities**:

- **Corporate Governance and Compliance**:

- Advise on corporate governance matters, including shareholder agreements, board resolutions, and related legal requirements.
- Ensure compliance with corporate laws, regulations, and internal policies across various jurisdictions.
- Assist with corporate filings, including registration, maintenance, and dissolution of entities.
- **Contract Review and Negotiation**:

- Draft, review, and negotiate a wide range of corporate contracts including partnership agreements, licensing agreements, vendor contracts, and employment agreements.
- Identify and mitigate legal risks in all contract matters, ensuring company interests are protected.
- **Mergers and Acquisitions (M&A)**:

- Provide legal support for M&A transactions, including conducting due diligence, drafting transaction documents, and advising on legal structures.
- Coordinate with external legal teams and business stakeholders to ensure smooth execution of M&A transactions.
- **Risk Management and Legal Advisory**:

- Assess potential legal risks and provide proactive legal advice on business operations, product development, and strategies.
- Assist in dispute resolution, including advising on litigation strategy and representing the company in negotiations.
- **Intellectual Property**:

- Advise on intellectual property (IP) matters, including patent, trademark, and copyright protection.
- Review and enforce IP rights, ensuring proper agreements are in place for licensing or collaboration.
- **General Legal Support**:

- Act as a trusted advisor to various business units, offering legal guidance on strategic initiatives and day-to-day operations.
- Collaborate with internal teams to resolve legal challenges and provide solutions that align with the company’s objectives.

**Required Qualifications**:

- **Education**: LLB or equivalent law degree from a recognized university.
- **Experience**: Minimum of 4-5 years of legal experience, particularly in corporate law, contract law, and governance. Experience with M&A transactions is a plus.
- **Skills**:

- Strong knowledge of corporate law, compliance, and corporate governance.
- Excellent written and verbal communication skills.
- Ability to negotiate effectively and provide clear legal advice.
- Proven track record of managing corporate legal matters and risk management.
- High attention to detail and ability to work independently and as part of a team.
- Ability to handle multiple priorities and meet deadlines.
- **Additional Qualifications**:

- Experience with international business law or working in a technology-based company is a plus.
- Familiarity with data protection and privacy laws is an advantage.
