To establish a modern laboratory in association with Zen Hospital in Hyderabad on an investment and profit-sharing basis.

1. Partnership Agreement

Creating a state-of-the-art diagnostic laboratory that complements Zen Hospital's healthcare services.

2. Investment Structure ( 20 LAKHS PLUS)

Initial Capital Investment.

Ongoing Expenses.

3. Profit Sharing Model

Revenue Generation: Laboratory will generate revenue (e.g., through patient diagnostics, partnerships with healthcare providers, or direct contracts with Zen Hospital).

Profit Distribution: The profit-sharing ratio

Reinvestment Strategy: A portion of the profits will be reinvested into the laboratory for expansion, upgrades, or new services.

4. Operational Management

Roles and Responsibilities: Zen Hospital provides the space and patient base, while the investor handles equipment procurement and staffing.

Governance Structure: a management committee or board to oversee the laboratory's operations, with representatives from both Zen Hospital and the investor.

5. Legal and Regulatory Compliance

Licensing and Accreditation: Ensure the laboratory complies with local regulations and obtains necessary accreditations, NABL accreditation

Contracts and Agreements: Detailed contract outlining the terms of the partnership, including the duration, renewal conditions, and exit strategy for both parties.

6. Risk Management

Liability: Liabilities (such as legal disputes, operational losses, etc.) will be shared between the partners.

Insurance: Appropriate insurance coverage for the laboratory, including equipment, staff, and professional liability.

7. Exit Strategy

Buyout Clause: One party to buy out the other’s share in the future, based on a predefined valuation method.

Termination Conditions: Specified conditions under which the partnership can be dissolved, and how the assets and profits will be divided.

8. Timeline and Milestones

Project Timeline: Establishment of the laboratory, including key milestones such as securing funding, completing construction, acquiring equipment, and launching operations, to be carried out in two months.

Performance Targets: Specific financial and operational targets for the laboratory, which will be used to evaluate the success of the venture.

9. Marketing and Outreach

Branding: Laboratory will be co-branded with Zen Hospital or operate under a separate name.( TO BE DECIDED)

Marketing Strategy: Investor has to develop a marketing strategy to attract patients and healthcare providers, leveraging Zen Hospital’s reputation and network.

10. Financial Projections

Revenue Forecast: Detailed forecast of expected revenue, considering the hospital's patient base and market demand.

Profitability Analysis: Break-even point and expected return on investment (ROI) over the first two years of operation.
