Be responsible for compliances to all the relevant legal regulatory frameworks & preparation of IMS Audits and External Audits - EHS Laws - Assess applicability of statutes, rules, notifications, regulations - Communicate to all the relevant departments regarding the statutes, rules and regulations. Further assess the applicability with the relevant departments - Identify the applicable laws in the online compliance management system - Sarvatra - Identify the responsible person to comply with all the requirements - Keep a track of the due compliance and perform sample audits on quarterly basis. Prepare update to the Board on compliance with laws on quarterly basis. - Check if appropriate documentation is uploaded as evidence of compliance for new as well existing tasks in the system. - In the event the applicability is not certain. Arrange for external counsel opinion etc. - Manage the IMS Internal as well as External Audits through Sarvatra - Liaison with auditors and provide necessary explanation, information and documents, as appropriate - Manage Sarvatra tool - updates, improvement, performance through Legatrix - Deliberate and research on miscellaneous legal issues faced by the business. For eg - Stamp Act queries, Legal Metrology Act, FEMA etc 2. Work on all the internal policies and guidelines and Management of Internal Control Systems (IMS) Audit - Vetting of MB India Policies and Guidelines - In case of issues with the policies and guidelines align/ change the same with relevant functions - Preparation and Management of Internal Control System Audits 3. Drafting and vetting of Agreements, Contracts, Side Letters, Letters and SCNs - Drafting, vetting, Finalization of agreements, MOUs, side letters etc. using the Contract Management Tool - myContracts for Marketing, Compliance, After sales, Production/ operations, IT, Taxation, EMO functions and other misc. agreements (except Daimler Group agreements) - Support for CSR legal requirements like agreements, MoUs (Memorandum of Understanding), opinions etc - Coordination and resolution of issues with vendors in case of conflicts with respect to agreements, side letter clauses etc. - Approval of Extended Contract Management Requests through share point. - Managing, refinement of My Contracts tool 4. Legal Projects - Take up and support various MB India, Legal HQ, DAG projects on legal and other issues from time to time Required skills: - Graduate degree in Law and a Qualified Company Secretary - Experience of min 5 years, in Legal and CS domain - Should be proficient in drafting agreements, contracts, replies to show cause notices, letters, etc. - Should be well versed with all the applicable legal compliances especially for manufacturing companies - Should possess good attention to detail" **Skills**: - Corporate Law, Desired - Company Secretary
