**Job Description: Company Secretary**

**Key Responsibilities**:

- Ensure compliance with corporate governance and statutory requirements under the Companies Act, SEBI Regulations, and other applicable laws for listed companies.
- Manage board and committee meetings, including preparation of agendas, drafting minutes, and coordinating with board members.
- Handle stock exchange filings, disclosures, and reporting as per SEBI (LODR) Regulations.
- Maintain and update statutory registers, records, and ensure timely filing of returns with regulatory authorities (ROC, SEBI, MCA).
- Draft and review agreements, resolutions, and other corporate documents.
- Act as the key point of contact for regulatory bodies and provide advisory support on legal and compliance matters.
- Oversee shareholder services, including dividends, share transfers, and addressing investor grievances.
- Provide guidance to the company on risk management and compliance best practices.

**Requirements**:

- Qualified Company Secretary (CS) with membership of ICSI.
- In-depth knowledge of corporate laws, SEBI regulations, and listing obligations for listed companies.
- Strong organizational skills with attention to detail.
- Excellent verbal and written communication skills.
- Proficiency in MS Office and familiarity with compliance software/tools is an advantage.
- Ability to handle confidential information with integrity.
