Legal Counsel

**Job Description Summary**: This position will be part of the legal team providing legal support to the Commercial Function. This position will work closely with the General Counsel
- South Asia and other Commercial Function Leaders to help achieve business results.

Your work will include supporting business team in execution of business strategies and plans and provide business law counselling on regular basis. Leading contracts and legal documentation by structuring, drafting, reviewing, and negotiating for standard commercial contracts to complex, high value transactions. Reviewing Government RFPs and tenders. Respond to legal notices from Tendering Authorities, Regulatory Authorities and Customers. Run policy and legal advocacy with regulatory and statutory authorities on matters relevant to the organization. Impart training to business team on legal issues. Drive litigation matters including coordinating with external counsels and managing any pro-active litigations filed by GE in connection with accounts receivables. Impart training to business team on legal issues.

**Day to Day Responsibilities**
- Provide efficient transactional support
- Draft, review and negotiate commercial contracts, purchase orders and terms of trade with customers
- Provide legal advisory support in connection with commercial transactions, sales promotions, discount schemes, trade incentives, on and off invoice discounts.
- Provide support in connection with anti-trust law compliance.
- Stay engaged in material Commercial relationships to minimize risk of business disruption or dispute
- Coordinate training initiatives and material development.
- Enforce compliance with GE’s guidelines and procedures; and
- Keep informed of current laws, regulations, and developments.

**Basic Qualifications**

LLB from a reputed university, qualified to practise law in India with atleast 7 years PQE, and experience of working in a reputed law firm and/or in house counsel.

Using the knowledge of the law to safeguard the business interest in all disputes and litigations while collaborating with the key functions in looking for strategic and sustainable solutions to address legal risks; and effectively looking for various approaches, addressing and resolving disputes in the most cost-efficient manner.

Managing contracts from drafting to execution and includes the analysis of each engagement by evaluation of its provisions, taking into consideration the law and company policy and standards, where the organization's operational and financial performance is maximized vis-à-vis potential risks.

**Legal Advisory**
Providing timely and responsive counsel to the organization by identifying risks and bringing it to the attention of the business functions to collaboratively propose solutions, strategies, and workable alternatives.

**Previous experience with**
- Public Procurement/Tender business.
- Anti-trust regulations.
- Commercial contracts.
- Legal Metrology.
- Pharma and Medical device regulations; and
- Understanding/experience in working with software contracts SAAS & on-premises.
